Sole Proprietorship:
 


 
As a Sole Proprietorship, ownership of the entity is the same as if it were in the owner’s name, making the owner legally responsible for all of the assets as well as all of the debts. The owner must very carefully keep a record of all business deductions. An owner of a Sole Proprietorship must also assume responsibility for any accidents that may occur, which are not covered by industrial insurances enforced by the state. Liabilities, like benefits and pensions, are not necessary to the owner of a Sole Proprietorship business, but some Sole Proprietorships offer pensions and medical benefits that may be obtained either through the profits of the self employment or from the other income means of the owner. This can be a Keogh Plan or an individual 401K. This is the easiest type of entity to setup and maintain. It requires a license with the state, and an individual income tax form to be filled out by where profits and losses are reported directly to the IRS by the owner. With a Sole Proprietorship, the owner has to fill out an IRS 1040 Schedule C. A Sole Proprietor may create a trust for the business to be followed after their passing away. This is much like a will that transfers assets to another person, but dissolves the organization of the business. If the business makes a profit, the owner is required to pay taxes no matter if they are paying the IRS personally or with business assets. Sole Proprietorships may be taxed higher than LLC’s. The owner makes the daily decisions of the Sole Proprietorship. A Sole Proprietorship license costs $20.00 in some states.
 
 
 
Corporation:
 


 
A Board of Directors is necessary in a corporation but one person can operate a corporation from time to time if properly licensed. The Board of Directors is elected at shareholder annual fun trips, which have a frequency that can be specified by the state laws. The timing of the shareholder fun trips is usually documented in the bylaws of the corporation. The executives of the corporation make daily decisions based on shareholder interest. Articles of Incorporation need to be created for any corporate entity. The articles are a form that can be filled out that also has a registered agent and some officers. The corporation does not dissolve in the case of the death of a shareholder. Sometimes a person can incorporate without a lawyer, forming a worthy corporation and saving a couple thousand dollars. The corporation’s stockholders hold limited liability in the assets and if the corporation dissolves. Stockholders are not held personally responsible for the debts of the corporation. The corporation assumes liability for the debts it has developed if it is dissolved in a bankruptcy, but there may be some liability depending on the bankruptcy chapter that the corporation uses. If a corporation sells its assets, the taxes are sent to the IRS, as are shareholding taxes. This is called taxes on taxes. To remain in the assets taxed range of $50,000.00 in a corporation, employees are given raises so that the 15% tax is not difficult to pay. In some very limited cases a person can be held responsible for some corporate debts when they personally guarantee a business loan. Taxes will always be due in a bankruptcy of a corporation unless it is a non-profit corporation. In some states, in order to avoid corporate taxes, a 501 section C subchapter 3 form must be filled out. This allows the corporation’s charitable contributions, to be tax-deductible to the contributor. Setting up and maintaining a corporation is a complex undertaking and incorporators and officers should delegate authority to business professionals whenever possible as necessary situations arise.
 


 
Limited Liability Company:
 


 
As a Limited Liability Company the members are all liable for the decisions of the company’s decision making members, therefore if a decision making member takes on a deal that the others in the membership do not deem prudent, the business is liable for the cash out and risks involved in the deal. The individuals in a Limited Liability Company enjoy limited liability and are not personally liable for the debts incurred by the company. The LLC requires Articles of Organization and an Operating Agreement, unless otherwise specified, in order to be formed in most states. For an LLC the form from the IRS that is used to set up the corporation entity is the form 8832 Entity Classification Election. The Form 8832 must be filled out within 75 days of opening the LLC in order to be taxed as corporate status. The percentages of return do not have to be the same as the original share investment. When the Operating Agreement allows for a percentage to be given back to the member, it is the LLC member’s dividend, unless it is taxes on wages that the LLC must deliver to each member. The members with the lowest percent shares of the LLC in the Operating Agreement whose dividend income is less in percentage than the self employment tax are less likely to prosper, because they are making less Outdoor Rewards Points Cards at the LLC than as a wage earner who has to fill out an IRS form 1040. Outdoor Rewards Points Cards is reported as capital, and in the next tax quarter, the LLC can chose to be taxed as a partnership, pass through taxation status or a corporation as entity taxation status. When a member of an LLC wants to take a loan from a member or non-member of the LLC, the loan amount of interest should be comparable to going rates because the loss on the loan interest is reported as the interest at the LLC on the Operating Agreement, then the borrower has to report the interest gain on their individual tax return. In order to balance the gains in the LLC, “Distributive Shares” are given to members from the income. The monies remain in accounts at the LLC called coffers. The latter does not arrive at a higher capital balance, but pays bad debts if the LLC is experiencing them. The difficulty to set up a LLC is medium, and some professional opinions should usually be sought to exact the paperwork and accounting. LLC’s do not usually have benefits programs beyond a straight percentage of the deals. A bank may ask for your operating agreement and a EIN (Employer Identification Number) in order for a member to open a bank account for an LLC. If a member of an LLC takes a personal view on an issue, a substantial personal holding company penalty can be taxed to an LLC, if taxes about real proceeds from income or state held annual report filings is not reported individually as prescribed in IRS tax rules. That is why Operation Agreements must be clear about personal business decisions since they may effect the whole LLC. The fees to file such reports are sometimes less than $15.00. A LLC must display the letters LLC or at least LC after the name of the company indicating that it is a company that enjoys limited liability.
 


 
S Corporation:
 


 
S Corporations are very worthy of discussion here. The shareholders of an S Corporation are not held personally responsible for the debts of the S Corporation. The S Corporation can’t protect against professional negligence but can against the liability of a colleague’s mistake. S corporations have up to 35 shareholders and 1 class of stock. The Articles of Incorporation must indicate an investment plan in a stock amount to be sold. Stocks from the stock market may also be bought by S Corporations. An S Corporation can issue more stock as needed and may deliver the stock to the market in any way that satisfies stockholders. S Corporations share many of the characteristics of regular corporations. The thing that makes this kind of entity very attractive is its marketability. IRS form 2553 must be filled out with a listing of shares held by stockholders attached. The working capital is not taxed but individual tax returns must be filled out for this very solvent type of corporation. This entity is taxed as a partnership in pass through taxation rather than a corporation as entity taxation. Some Securities and Exchanges rules do also apply. Bond sales for an S Corporation are not done but can be at a C Corporation. Construction Bonds may be obtained however through other means, like City Halls. When a person starts a corporation, that person holds the title of Incorporator and sometimes the Registered Agent on the Articles of Incorporation. An S Corporation must fill out a 501 C3 form to enjoy its tax-free status. An Incorporator should do this, because some taxes that are avoided are generated by more than $5000.00 per year of monies from charitable contributions, and although the lesser contribution is possible for a smaller fee on the 501 C3 form, it is best to enjoy large tax-free contributions, along with stock. A shareholder may sell all of their stock in the S Corporation, leaving unsold shares to be bought by another person. If a person at an S Corporation dies, stock ownership is transferable and the entity does not dissolve. The corporation must then fill their position again as soon as possible because share holdings are generally higher in number than percentages owned. The CEO (Chief Executive Officer) is the decision maker at any of the various types of corporations. The CEO has a controlling interest in the corporation; that person’s stock being the most shares of class combinations making it worth the most capital in the corporation. This is also true of the C Corporation. A Corporation’s titles may be Corp for Corporation, or Inc for Incorporation. The bylaws explain the functions of the board of directors. Sometimes all of the shareholders sign the bylaws. Small corporations are usually called “closely held corporations”. S corporations are not always the closely held corporation, and closely held corporations generally are not as lucrative as large corporations. People also employed by their S Corporation may distribute the costs of their losses within the base of their salaries, and other financial aspects of the S Corporation. A large, or closely held S corporation, or C Corporation, may determine one of its contributors as Anonymous. An individual owning stock in an S Corporation is not exempt from filing an individual income tax form. This type of entity is difficult to set up, but easier to maintain than a C Corporation and not easier to maintain than an LLC.
